Terms & Conditions

Vita Consulting Limited (“QCADVISOR,” “we,” “us,” and “our”) verify your suppliers and inspect your products, using a unique pro-active approach combined with technology. We not only catch defects, we help avoid them before they happen. Our Terms and Conditions (“T&C”) are the legal agreements between QCADVISOR and any person or company that is using QCADVISOR services.

Context

QCADVISOR provides quality control services for companies sourcing products from Asian countries. (See the full list in chapter 5.)

The Client wishes to appoint QCADVISOR to perform the Services, and QCADVISOR agrees to perform the Services under the terms of this Agreement to the benefit of the Client.

1. Services

QCADVISOR services, hereunder called “services”, include but are not limited to:

  • Product inspections:

Pre-Production Inspection

During Production Inspection

Pre-Shipment-Inspection

Defect Sorting Service

Production monitoring

  • Factory audits (Supplier Assessment Audit, Quality Management System audit, Social Audit)

▪  Container Loading Inspection

2. Output of services

The output of the Service will consist in a document, hereunder called the “Report”. The Report will display the collection of information that QCADVISOR agent has been requested to supply and will be delivered as an online report, sent by email and posted online on the client account.

Any additional requirement on reporting method must be communicated five working days prior to the expected service date. QCADVISOR reserve the right to refuse using a third party platform or application.

QCADVISOR acts as a third party while performing its services on behalf of the client. Our role is to get information in the factory and prevent any quality issue related to our clients’ production and for which our clients request a service.

QCAVISOR will carry out its services according to client’s specifications and instructions made in QCADVISOR online booking platform or by email and after agreement on the service scope between QCADVISOR and the client. In the case where there are no client’s specifications and/or instructions, QCADVISOR will use the relevant and/or available standard(s) or common practices to perform its services. Client should book its service requests online from its dedicated account on our booking system or by email, as much as possible in advance. QCADVISOR keeps the right to accept or reject a demand of service or a request of any kind and cannot be sued or considered liable by doing so.

Any additional requirements on reporting method be must be communicated five working days prior to the expected service date.

3. Client’s obligations

The Client agrees to supply QCADVISOR with relevant, true and correct information when ordering the services either online from its private account on QCADVISOR website or through email(s). Moreover, the client shall ensure that QCADVISOR will access the needed information not later than 2 full working days before the desired service. The client is obliged to modify or cancel the service no later than 1 full working day before the requested and planned service date. Client accepts to abide to our payment and invoicing policy.

4. Invoicing policy

For regular clients, invoices will be sent by email, once a month, at the end of the month, with all services performed during the month and the payment is requested within 20 days of invoice reception.

When transferring the money with its bank, the client agrees to pay for his own bank fees and overseas charges, while we pay for our own bank fees (=60 HKD).

Client can pay the ordered services fees to QCADVISOR by bank transfer (TT / telegraphic transfer of money, from bank to bank) or by Paypal. Services fees are labeled in USD.

In case the client did not pay his previous invoice(s), QCADVISOR has all right to stop providing its service and the client still need to pay the amount related to the services performed by QCADVISOR. Moreover, an extra charge of 3% of the due amount will be charged for every month of late payment.

For orders invoiced with additional expenses (travel expenses for orders outside of our network for example), these orders will be charged based on real travel expenses (receipts will be provided). If the payment had occurred prior to the service, an advance for travel expenses might have been charged. In this case, the client will have to pay for real travel expenses, and we will deduct the advance from his next invoice.

Cancellation or postponement of service is requested no later than 1 full working day before the requested and planned service date. It is free of charge and the service fee shall be fully refunded in case of cancellation. If the client or supplier cancel or postpone the service less than 1 full working day after 18:00 Hong Kong time before the requested and planned service date, a late cancellation fee of USD 100 per service applies.

If the client or supplier cancel or postpone the service during the same requested and planned service date, the whole service fee applies.

5. Coverage area & Additional service expenses

Coverage area and Travel expenses:

China: All mainland China. (No travel expenses)

Taiwan: All East coast of Taiwan (Taipei, Taichung, Tainan, Kaohsiung). (No travel expenses)

India: Mumbai area, Delhi/Noida Area, Tirupur, Bengaluru, Kolkata. (No travel expenses)

All other provinces and areas (Travel expenses to be determined on case-by-case basis).

Bangladesh: Dhaka area. (No travel expenses), Chittagong (+50USD/per inspector)

Pakistan: Lahore and surrounding cities (Sialkot, Faisalbad, Kasur) ****(No travel expenses)

All other provinces and areas (Travel expenses to be determined on case-by-case basis).

Myanmar: Yangon area (no Travel expenses), Other areas of Myanmar not covered.

Malaysia: Kuala Lumpur area. (No travel expenses)

All other provinces and areas (Travel expenses to be determined on case-by-case basis).

Thailand: Bangkok (No travel expenses)

All other provinces and areas (Travel expenses to be determined on case-by-case basis).

Turkey: Istanbul, Denizli, Antalya (No travel expenses).

All other provinces and areas (Travel expenses to be determined on case-by-case basis).

Vietnam: Ho-Chi Minh, Hanoi (No travel expenses)

All other provinces and areas (Travel expenses to be determined on case-by-case basis).

Singapore: No travel expenses.

South Korea: Seoul and surrounding cities (No travel expenses).

All other provinces and areas (Travel expenses to be determined on case-by-case basis).

Same day report:

Our inspection and audit reports are usually sent the same day with no additional fees, unless the service is finished late after 6PM or there is high amount of findings or data to add in the report. If you need your report to be sent the same day or earlier please let us know in advance and our team will ensure it sent you on time.

6. Liability and indemnification

Limitation of liability

  • QCADVISOR will accept liability only in case of proven negligence by QCADVISOR team according to provided client’s instructions and agreed service scope.
  • In the event of inaccurate or incomplete information being given to QCADVISOR by any third party as in input for the service, there is no acceptance of liability.

Diligence

QCADVISOR shall perform its services based on client instructions and agreed service scope. These instructions are provided online through the QCADVISOR online booking system or by email. QCADVISOR will issue all its reports as per client’s instructions and agreed inspection scope.

The results reflect QCADVISOR team findings during the service based on the agreed service scope, inspected sample size and client’s specifications and/or instructions. The report does not relieve the supplier from their contractual liabilities & responsibilities or right for compensation for any apparent and/or hidden problems not detected during the service or occurring thereafter.

QCADVISOR should be contacted if there are queries regarding its report’s content. QCADVISOR takes no responsibility for the misinterpretation of its report findings.

QCADVISOR is under no obligation to report information that is not specified by the client through QCADVISOR online booking or by email and not included in the agreed service scope.

Our services do not include the conformity assessment and certification related to international regulatory standards (safety requirements; chemical testing, material type). Such assessment and certification must be done through a third-party accredited laboratory.

If QCADVISOR is not able to perform its services as per Force Majeure; i.e.: out of QCADVISOR control, no responsibility will be obligated for this. In this case QCADVISOR will inform the client about the situation at once.

Practical Terms

QCADVISOR is not liable for any claims on inspected goods when:

  • a). Less than 80% of products were finished for inspection.
  • b). Inspection was failed, with no re-inspection completed.
  • c). Inspection was completed with a sampling plan lower than Level II per single sampling plan for normal inspection (ISO 2859-1)

Indemnification

In the event of QCADVISOR being held liable in respect to any claim of loss, damage or expense of any nature, the liability to the claim shall be decided on a case by case basis and agreed between QCADVISOR and the client.

If the client has a claim or a loss to declare, notice must be given to QCADVISOR by e-mail to contact@qcadvisor.com.

7. Copyright

The information contained in any publication made available on or through QCADVISOR website is the exclusive property of QCADVISOR. It is licensed to QCADVISOR and is protected by copyright and other proprietary rights. Nothing contained in our website or in any documents (reports, invoice, poster, flyer, business card) created and provided by QCADVISOR may be reproduced, distributed or edited in any manner without the prior written authorization of QCADVISOR.

8. Termination of services

QCADVISOR has the right to suspend or terminate the provision of services to the client at any time. Provision of services might be automatically suspended in case where client does not follow this service agreement or if client does not pay or is unable to pay the issued outstanding invoices.

9. Jurisdiction

These terms and conditions are governed by and construed in accordance with the Hong Kong Law. Thus all disputes shall be submitted to the jurisdiction of the courts of Hong Kong or/and in the country where the client is located.
